1. Acceptance of Terms

By accessing or using the Conteiq platform (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Service on behalf of a company or other legal entity ("Organization"), you represent that you have the authority to bind the Organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Conteiq provides an AI-powered organizational knowledge intelligence platform that connects to enterprise data sources, processes organizational content, and delivers intelligent knowledge retrieval through natural language interfaces. The Service may include enterprise search, AI knowledge assistance, document intelligence, organizational memory, and analytics features as described in the applicable subscription plan.

3. Account Registration and Security

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to maintain the security of your login credentials. You are responsible for all activities that occur under your account. You must notify Conteiq immediately of any unauthorized use of your account at security@conteiq.io. Conteiq is not liable for any loss resulting from unauthorized account access due to your failure to maintain credential security.

4. Subscription Plans and Payment

Access to the Service requires an active subscription. All subscriptions are billed in advance on a monthly or annual basis as selected at purchase. Prices are listed in USD and may be subject to applicable taxes. Failure to pay may result in suspension or termination of your account. Conteiq reserves the right to modify pricing with 30 days advance notice to existing subscribers.

5. User Obligations

You agree not to:

• Use the Service to process or store content that violates any applicable law or third-party rights
• Attempt to reverse engineer, decompile, or extract the source code of the Service or its AI models
• Use the Service to develop competing products or services
• Circumvent or disable any security features of the Service
• Use the Service to transmit malware, spam, or harmful code
• Share access credentials with unauthorized parties
• Exceed usage limits established by your subscription plan

6. Intellectual Property

Conteiq retains all rights, title, and interest in and to the Service, including all underlying software, algorithms, AI models, and technology. You retain ownership of all Organizational Data submitted to the Service. By submitting content, you grant Conteiq a limited, non-exclusive license to process your content solely for the purpose of delivering the Service.

7. Confidentiality

Both parties agree to maintain the confidentiality of the other party's confidential information. Conteiq treats all Organizational Data as confidential and will not disclose it to third parties except as required to operate the Service, with your consent, or as required by law.

8. Service Availability and Support

Conteiq targets 99.9% uptime (Professional), 99.95% (Business), and 99.99% (Enterprise) as described in applicable SLA agreements. Scheduled maintenance will be communicated in advance. Support is provided via the channels and response times specified in your subscription plan.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTEIQ'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CONTEIQ IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. CONTEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. CONTEIQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONTEIQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED ANSWERS WILL BE ACCURATE IN ALL CIRCUMSTANCES.

11. Termination

Either party may terminate the subscription at the end of the current billing period. Conteiq may terminate or suspend access immediately for material breach of these Terms, non-payment, or violation of applicable laws. Upon termination, your access to the Service ceases and Organizational Data will be deleted per our data retention policy.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
